Terms &
conditions.
The rules for using this site, and the terms we trade on: quotations, orders, MOQ, payment, lead time, claims, and the law that governs them.
What these terms cover
These terms govern two things: your use of this website, and the commercial relationship that starts when we quote and you order. They are written for business customers — brands, distributors, wholesalers and retailers — not for consumers.
Where a signed quotation, contract or purchase order says something different, that document wins for that order. Nothing on this website is an offer capable of acceptance: the offer is the quotation we issue.
Quotations and validity
A quotation is valid for 30 days from its date unless it states another period. It is based on the specification, quantity and packaging described in it, and on the raw material and freight costs current when it was issued.
If a quotation has expired, or the specification changes, we re-quote. Prices are exclusive of freight, insurance, duties and destination taxes unless the quotation says otherwise.
Orders and acceptance
An order becomes binding when we confirm it in writing. Until then, quantities and dates are indicative.
- A purchase order should quote our quotation number and state the Incoterm, the destination port and the date you need the goods.
- We may decline an order that cannot be produced to the stated specification, or where a certification you rely on is not in scope for that destination market.
- Cancellation after material has been purchased or production has started is charged at the cost incurred, including committed raw material and packaging.
Specifications, MOQ and tolerances
The approved sample, the signed specification sheet and the approved artwork together define the product. Where they conflict, the specification sheet prevails, then the approved sample.
- MOQ is quoted per SKU and per format. It reflects the minimum run for the filling line, the tooling and the packaging, and it is stated on the quotation. Below MOQ we can sometimes offer a development run at a higher unit price.
- Tolerances — fill weight ±2%, dimensions ±2 mm, colour within the approved master batch, unless the specification states tighter limits.
- Natural materials — wood, bristle and leather vary in grain and shade. Variation inside the approved sample range is not a defect.
Samples and approval
Pre-production samples are made against the approved artwork and specification. Production starts only after you approve them in writing.
Sample charges are credited against the order when it is placed, unless the quotation says otherwise; courier costs for samples are payable by the customer. Approving a sample approves the colour, print position, fill and pack-out it shows.
Prices, currency and taxes
Prices are quoted in US dollars unless the quotation states another currency. They are exclusive of VAT, GST and any destination tax, which are for the buyer’s account.
Where a quotation is fixed for a period and the cost of a key raw material moves by more than 5% within that period, we may re-open the price for orders not yet in production — and we will show the cost basis if we do.
Payment
Standard terms are 30% deposit on order confirmation and the balance before shipment, against a copy of the shipping documents. Other terms — letter of credit, documents against payment, or open account for an established customer — are agreed in writing before production starts.
- Bank charges outside our bank are for the buyer’s account.
- Where payment is late we may suspend production or withhold documents until it is settled, and may charge interest at 0.05% per day on the outstanding amount.
- Title passes on full payment; risk passes according to the agreed Incoterm.
Lead time, shipping and Incoterms
Lead time is counted from the later of artwork approval and deposit receipt — not from the date of inquiry. Quoted lead times are indicative and assume a confirmed specification.
- Shipments are made on the Incoterm stated in the quotation — commonly FOB, CIF or EXW, Incoterms® 2020.
- Where we arrange carriage, the booking is made to the destination port named in the order. Destination charges, demurrage and customs clearance are for the buyer.
- Partial shipments and transhipment are permitted unless the order says otherwise.
Packaging, labelling and private label
Unless agreed otherwise, goods ship in our standard export cartons with our standard inner packing. Private label artwork, dielines and label copy are supplied by the customer.
- We check that artwork is print-ready and flag anything that will not reproduce, but the customer is responsible for the accuracy of label copy and for its compliance in the destination market.
- Artwork approved by the customer is printed as approved. We are not liable for errors that were present in approved artwork.
- Carton marks follow the customer’s instructions where given; otherwise our standard marks apply.
Inspection, defects and claims
Goods are inspected before shipment against the approved sample, using AQL 2.5 (major) and 4.0 (minor) unless the order specifies another level. An inspection report is available on request, and a third-party inspection before shipment is welcome at the customer’s cost.
- Claims for visible defects must reach us within 15 days of receipt, with photographs of the affected cartons and the carton marks.
- We may ask for the defective units, or a sample of them, to be returned before accepting a claim.
- Where a claim is accepted we repair, replace or credit the affected quantity, at our option. Liability is limited to the invoiced value of the defective goods.
- Claims do not extend to normal wear, misuse, improper storage, or use beyond the stated shelf life.
Compliance and documentation
We manufacture to the requirements agreed for the destination market, and we supply the documents that travel with the goods: safety data sheets in the required format, GHS labels where applicable, certificates of analysis, and declarations of conformity.
Certification is issued per site and per scope. A certificate shown on this site applies only where it has been verified for the specific product and market of your order, and we confirm that scope in writing before you rely on it. Registering a product with a national authority is the importer’s responsibility unless we agree otherwise in writing.
Intellectual property and tooling
Our formulations, moulds, tooling, designs, photography and text remain our property. Nothing in an order transfers them.
- Customer artwork and brands stay the customer’s property. The customer warrants that it holds the rights to everything it sends us, and that the goods do not infringe a third party’s rights.
- Tooling paid for by the customer is used only for that customer’s orders. We store it free of charge for two years after the last order; after that we may scrap it on 60 days’ notice.
- We do not produce counterfeit goods, and we decline orders that appear to copy a protected brand.
Confidentiality
Formulas, specifications, artwork, volumes and prices exchanged during a project are confidential. Each side uses them only for the project, and discloses them only to staff and contractors who need them.
The obligation does not cover information that is public, already known to the receiving side, independently developed, or required to be disclosed by law. It lasts three years after the last order — and indefinitely for a formula.
Liability and force majeure
Our liability for an order is limited to the invoiced value of that order. Neither side is liable for loss of profit, loss of market, or indirect and consequential loss.
Neither side is liable for delay or failure caused by events outside its reasonable control — natural disaster, epidemic, war, government action, port closure, or a sustained failure in the supply of a key raw material. The affected side notifies the other promptly, and the affected obligation is suspended for the duration of the event.
Governing law and disputes
These terms, and any order placed under them, are governed by the laws of the People’s Republic of China. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties will first try to settle a dispute by discussion within 30 days. Failing that, the dispute goes to the competent people’s court in Zhongshan, Guangdong — or, if both sides agree in writing, to arbitration at CIETAC under its rules.
Use of this website
You may read, print and share the pages of this site in order to evaluate us as a supplier. You may not scrape it at scale, republish it as your own, or use it to send unsolicited bulk mail.
Product descriptions, capacities and lead times on this site are indicative. The binding specification for an order is the approved sample and the signed quotation.
Changes to these terms
We update these terms when our practice changes. The version in force for an order is the one published when that order was confirmed, and the date at the top of this page shows the last change.
